Qrious1 Terms and Conditions

Effective September 20, 2026.

THE SHORT VERSION

This summary is here to help you. It is not part of the agreement. If it differs from the numbered sections below, the numbered sections apply.

• Qrious1 is research software. It runs on your computer, on your own data.
• It is not advice. We do not know you or your finances, and nothing it shows is a recommendation.
• Everything it reports is a backtest: simulated trades on past data. Backtests often fail in live trading.
• Trading futures can lose more than you put in. You alone decide what to trade.
• Qrious1 never places an order. If you connect a script to something that does, that is your act and your risk.
• Your data, your results and your scripts stay on your computer. We do not receive them.
• You pay once. There is no subscription.
• One licence is for one person, on up to two computers. Do not share the software itself, resell it or take it apart. What you find with it is yours to share or sell.
• All sales are final. We do not give refunds.
• It is sold as is, and our liability is capped at what you paid.

1. THIS AGREEMENT

1.1 These Terms are a contract between you and Riley Jacob, doing business as Qrious1 ("we", "us").

1.2 You accept these Terms when you click "I accept" in the installer or at checkout, or when you install or use the Software. If you do not accept them, do not install or use the Software.

1.3 You must be at least 18 years old and able to enter a contract. If you use the Software for a company, you accept these Terms for that company and confirm you have the authority to do so.

2. WORDS USED IN THESE TERMS

• Software means the Qrious1 desktop program, its installers and updates, and its documentation and videos.
• Your Data means the market data files and any other files you load into the Software.
• Mine means a search the Software runs over Your Data.
• Results means everything the Software reports, including statistics, charts, trade lists, time estimates, Edges and Leads.
• Edge means a Result that passed all of the Software's statistical checks on Your Data. Lead means a Result that passed the checks for its own idea but not the check across the whole search.
• Generated Script means a TradingView Pine Script, or any other code or text, that the Software writes for a Result.

Edge and Lead are names for test outcomes on past data. Neither is a prediction, a rating or a certification by anyone. Where the Software says "certified", "verified" or "proven", it describes the outcome of its own checks and nothing more. "Verified" on a Generated Script means the script reproduced the Software's own simulated trades on Your Data. It does not mean the script was checked on TradingView's data or in live trading.

3. WHAT THE SOFTWARE DOES AND DOES NOT DO

3.1 The Software searches Your Data for statistical patterns using a fixed list of trading ideas. It applies statistical checks, reports Results, and can write a Generated Script for a Result.

3.2 The Software does not provide market data. It does not connect to a broker, an exchange or a trading account. It does not place, route, change or cancel orders, manage money or monitor positions.

3.3 The Software runs on Windows 10 or Windows 11. A supported NVIDIA graphics card makes a Mine faster but is not required. Times shown before and during a Mine are estimates. A Mine can take minutes or many hours, depending on your computer, Your Data and the idea. A Mine works your processor or graphics card hard for as long as it runs. Keeping your computer cooled, powered and fit for that is your responsibility.

3.4 Results depend entirely on Your Data. Errors, gaps, the way contracts are joined together, or time-zone problems in Your Data will change the Results. The Software's data checks reduce this risk. They do not remove it.

4. NO ADVICE AND NO ADVISORY RELATIONSHIP

4.1 The Software is a research and educational tool, and it is the same for every customer. We do not know your finances, your goals or how much risk you can bear. Nothing in the Software, the Results, a Generated Script, anything we publish, our emails, our videos or our support replies is tailored to you.

4.2 Nothing we provide is investment, trading, legal, tax or accounting advice. Nothing we provide is a recommendation or an offer to buy or sell any futures contract, security or other instrument, or to use any strategy.

4.3 We are not registered with the Commodity Futures Trading Commission, the National Futures Association, the Securities and Exchange Commission or any other regulator as a commodity trading advisor, investment adviser, broker or dealer. We are not your fiduciary.

4.4 You alone decide whether and how to trade. Consider speaking to a licensed professional who knows your situation.

5. TRADING RISK AND HYPOTHETICAL RESULTS

5.1 Risk. Trading futures and other leveraged products involves substantial risk of loss and is not suitable for everyone. You can lose more than your initial deposit. Only trade with money you can afford to lose. Past performance is not necessarily indicative of future results.

5.2 Every Result is hypothetical. Every Result, and every figure in it (profit, win rate, drawdown, trade list), comes from simulated trades on historical data. No Result is a record of real trading by anyone.

5.3 The standard statement on hypothetical results. United States commodity rules prescribe this statement for hypothetical performance (17 CFR 4.41), and it applies to every Result:

These results are based on simulated or hypothetical performance results that have certain inherent limitations. Unlike the results shown in an actual performance record, these results do not represent actual trading. Also, because these trades have not actually been executed, these results may have under-or over-compensated for the impact, if any, of certain market factors, such as lack of liquidity. Simulated or hypothetical trading programs in general are also subject to the fact that they are designed with the benefit of hindsight. No representation is being made that any account will or is likely to achieve profits or losses similar to these being shown.

5.4 What the statistical checks do and do not do. The Software's checks, such as its noise check, its forward test, its cost stress and its check across the whole search, are designed to reduce the chance that a Result is luck. They cannot remove that chance. A Result that passes every check can still lose money. Markets change, and a pattern can stop working at any time, including the day after you find it.

5.5 Costs and fills are assumptions. Simulated trades use assumed commissions, slippage and fill rules. Your real costs and fills will differ, and the difference can turn a profitable Result into a losing one.

5.6 Data sources differ. A Generated Script is checked against the Software's simulated trades on Your Data. TradingView's data, your broker's data and live prices differ from Your Data, for example in contract rolls, missing minutes, session times and early closes. A script can therefore trade differently on TradingView or live than it did in the Software.

5.7 Test first. Test any strategy on a simulated ("paper") account before you risk money.

6. YOUR LICENCE

6.1 The Software is licensed, not sold. Once you have paid, or we have given you access, we grant you a personal, non-exclusive, non-transferable licence. It lets you install and use the Software on up to two Windows computers that you own or control, for your own use.

6.2 You pay once. The licence does not expire; it lasts until it ends under Section 19.

6.3 We and our licensors own the Software. That includes its list of ideas, its statistical methods, its script templates, its design, the name Qrious1 and the logo. These Terms give you no rights in them beyond the licence above.

6.4 If you send us feedback or suggestions, we may use them freely and without payment.

7. WHAT YOU MAY NOT DO

You will not, and will not let anyone else:

• copy, share, rent, lend, resell or sublicense the Software or your access to it;
• let more than one person use a single licence;
• reverse engineer, decompile or take apart the Software, or extract its ideas, methods or templates, except where the law says this cannot be restricted;
• remove any notice or branding;
• use the Software to build a competing product;
• use the Software in breach of any law, or of the rules of your broker, exchange, data vendor, charting platform or funded-trader programme.

8. GENERATED SCRIPTS

8.1 You may use, edit and run the Generated Scripts you create for as long as you like, including after your licence ends.

8.2 You may share, publish and sell what you find with the Software. That includes Results and Generated Scripts.

8.3 What you share or sell is your responsibility, and so is any law that applies to selling trading signals or strategies. Say that the results are hypothetical (Section 5). Do not present anything as advice from us or as endorsed by us.

8.4 Generated Scripts contain our template code. We keep all rights in the templates. You may pass that code on only as part of a Generated Script.

8.5 A Generated Script is a Result in another form, so Sections 4, 5, 16 and 17 apply to it. Review every script before you use it, including each setting, contract symbol and alert field.

9. YOUR DATA AND OTHER COMPANIES' SERVICES

9.1 You bring your own data. The Software includes no market data. You are responsible for obtaining Your Data lawfully and for following your data vendor's licence, including any limits on sharing or commercial use.

9.2 Other companies. The Software works with files and services from other companies, for example Databento for historical data and TradingView for charts and Pine Script. We are not affiliated with them, endorsed by them or responsible for them. Their terms, prices and products are theirs and can change or stop at any time. That may limit or end features of the Software that depend on them. Their names and marks belong to their owners.

9.3 Walkthrough videos and links in the Software that show another company's website are illustrations only. The prices and steps they show may be out of date.

10. ALERTS, AUTOMATION AND ORDER ROUTING

10.1 The Software does not place orders. We do not offer any order-routing, trade-copying or automation service.

10.2 A Generated Script may contain alert messages, webhook text or settings meant for third-party services that can place orders. They are provided as is. They may be incomplete or wrong for your account, broker or contract. We have not tested them with your accounts, and we do not support them.

10.3 If you connect a Generated Script or an alert to any service or software that can place orders, you do so entirely at your own risk. You are responsible for every order it places, for watching it, and for stopping it. Automated trading can lose money quickly, including through errors, outages, duplicate orders, missed exits and wrong contract symbols.

11. PRIVACY AND WHAT THE SOFTWARE SENDS

11.1 The Software runs on your computer. Your Data, your Mines, your Results and your Generated Scripts stay in a data folder on your computer. The Software does not upload them to us or to anyone else.

11.2 The Software has no user accounts, no advertising and no usage tracking. Its window is drawn by Microsoft's WebView2 component, which belongs to Windows and follows your Windows privacy settings.

11.3 Update check. The Software may read a small file at an internet address we control, about once a day, to see whether a newer version exists. It downloads nothing by itself. Like any web request, this shows whoever hosts that file your IP address and the time of the request.

11.4 Links. Some buttons open a web page in your own browser, for example a data vendor's catalogue or Microsoft's download page for the WebView2 component. What you do there is between you and that site.

11.5 Support. If you email us, we receive what you choose to send, such as a log file or a data file. We use it only to help you, and we delete it if you ask.

11.6 Payments. Purchases are handled by our payment provider or reseller, under its own privacy policy. We never see your full card number.

12. UPDATES AND PRE-RELEASE VERSIONS

12.1 We may release updates, but we are not obliged to. We may change or remove features, for example when another company's service changes.

12.2 An update can change how a Mine is run. A newer version may decline to write a script from a Mine made by an older version, and ask you to run that Mine again.

12.3 Pre-release ("beta") versions are for testing only. They may contain serious errors, they come with no support commitment, and you must not share them.

13. OTHER PEOPLE'S SOFTWARE INSIDE QRIOUS1

The Software includes third-party and open-source components. Examples are Python, NumPy, pandas, SciPy, Numba, CuPy, Streamlit, Plotly, pywebview, Microsoft's Visual C++ runtime files, NVIDIA's CUDA runtime libraries and the Chakra Petch typeface. Each is licensed under its own terms, listed in the third-party notices file installed with the Software. Those terms apply to those components. NVIDIA's libraries are licensed by NVIDIA, not sold, and may be used only as part of the Software.

14. PRICE, PAYMENT AND REFUNDS

14.1 The price, any taxes and the way you pay are shown at checkout.

14.2 Qrious1 is a one-time purchase. There is no subscription and no recurring charge.

14.3 No refunds. All sales are final. The Software is a digital product delivered at once, and we do not give refunds, except where the law requires one.

14.4 The system requirements are shown where the Software is sold, and in the installer before anything is installed. Check them before you buy.

14.5 Nothing in these Terms removes a consumer right that the law does not allow to be removed.

15. SUPPORT

We offer support by email at support@qrious1.com and will make a reasonable effort to help. We do not promise response times. Support covers installing and using the Software. It cannot cover what to trade, which Result to pick or how to size a position.

16. NO WARRANTY

16.1 The Software, the Results and the Generated Scripts are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied. That includes warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted or error-free operation.

16.2 We do not warrant that any Result is correct, that the Software's checks catch every false Result, that a Generated Script will compile or behave the same way on any platform, or that any strategy will be profitable.

16.3 All software has bugs. You are responsible for checking anything you rely on.

17. LIMIT OF OUR LIABILITY

17.1 To the fullest extent the law allows, we are not liable for trading losses. We are also not liable for lost profits, revenue, data or opportunity, or for any indirect, incidental, special, consequential or punitive damages. This applies however the loss was caused, and even if we were told it was possible.

17.2 Our total liability for all claims about the Software or these Terms is limited to the total amount you paid us for the Software.

17.3 These limits apply to every kind of claim, including contract, negligence and strict liability. They also protect our owners, staff, contractors and licensors. Some places do not allow some of these limits. In those places, the limits apply only as far as the law allows.

17.4 Nothing in these Terms limits liability that the law does not allow to be limited.

18. YOUR RESPONSIBILITY TO US

You will defend us against claims brought by others, and repay our losses and reasonable legal costs, where the claim arises from any of the following:

• your trading, anything you share or sell, or the trading of anyone using your scripts or accounts;
• your breach of these Terms;
• Your Data, or your breach of the terms of a data vendor, broker, platform or funded-trader programme;
• your breach of any law.

19. HOW THIS AGREEMENT ENDS

19.1 These Terms apply from the moment you accept them until they end.

19.2 You can end them at any time by uninstalling the Software and no longer using it.

19.3 We can end your licence if you seriously breach these Terms and do not fix the breach within 14 days of our notice. We can end it at once if you share, resell or reverse engineer the Software.

19.4 When the licence ends, you must stop using the Software and uninstall it. The files in your data folder are yours and stay on your computer. Sections 4, 5, 6.3, 7, 8, 9, 10, 14, 16, 17, 18, 20 and 22 continue to apply.

20. GOVERNING LAW AND DISPUTES

20.1 The laws of the State of Wisconsin, United States, govern these Terms, without regard to its conflict-of-law rules.

20.2 Talk to us first. Before starting a claim, each side will give the other written notice and 30 days to try to resolve it.

20.3 If that fails, the state and federal courts located in the State of Wisconsin have exclusive jurisdiction. Either side may use a small-claims court instead where the claim qualifies.

20.4 Where the law allows, any claim must be brought within one year after it arises.

21. CHANGES TO THESE TERMS

We may update these Terms. New Terms appear in the installer of a new version, with a new effective date. If you do not agree to them, do not install the new version. The Terms you accepted keep applying to the version you already have.

22. GENERAL

• Whole agreement. These Terms, plus your order confirmation, are the whole agreement between us about the Software. They replace anything said earlier.
• If part fails. If a court finds part of these Terms unenforceable, the rest stays in force.
• No waiver. If we do not enforce a right at once, we have not given it up.
• Transfer. You may not transfer these Terms or your licence. We may transfer them to whoever takes over the business.
• Export and sanctions. You confirm you are not located in a country, and are not a person, that United States law bars from receiving the Software. You will not export it in breach of those laws.
• Events beyond our control. We are not liable for delay or failure caused by events beyond our reasonable control.
• No partnership. These Terms do not make either of us the other's partner, agent or employee.
• Reading these Terms. Headings are for convenience only, and "including" means "including without limitation".
